Transport Standard Terms & Conditions for Ippolito Transportation Inc.

Bill of Lading
All shipments require an accurate Bill of Lading with all pertinent and legal information: Ie. shipper’s and consignee’s full name, address, phone numbers, prepaid/collect or third-party billing, if temperature is required, number of skids/pallets, total weight of the LTL or TL, appointment time, and any special delivery instructions. Postal/Zip codes with each address must be provided. All Bill of Lading not marked as prepaid, or collect or third-party billing will be deemed as prepaid – or as freight marked collect where consignee refuses to pay – delivery will be released and treated as prepaid. Any Bill of Lading missing the number of skids/pallets shall be entered as a default of pallet count based on information on the Bill of Lading Ie. case or carton details. Any Bill of Lading missing weights of the pallet(s) and shipment shall be entered as a default 300 lbs, see Claims section for limitation of liability. A separate Bill of Lading must always be issued for each shipment and must not include more than one consignee and one destination on one day from one shipper. Freight received on two or more bills of lading will not be combined and will be rated as separate shipments at not less than the established charge for each shipment.

Dock
Shipper and Consignee are required to have a dock that can safely accommodate a 53’ Reefer/ live unload unless described and agreed upon. Ippolito Transportation provides services business to business LTL and TL services only, with special services as a value add-on.

Equipment
All equipment provided will meet all the safety and other requirements of the country, state and provincial jurisdictions where the carrier offers and provides the equipment. Any damage, delay or loss because of a failure to meet those requirements will not be an act of the authority of law. The equipment into which the shipment is loaded must have the capacity and ability to transport products in the manner ordered. Ippolito Transportation offers LTL refrigerated services, which is about “less-than-truckload” or pallets spots, this service is offered at a temperature setting of 34-36 Deg F. Ippolito Transportation offers truckload service, this is a reference to “full truckload” the reefer tandem trailer will be set “shipper’s temperature declaration” as per the Bill of Lading, the default temperature setting is 34-36 Deg F. Ippolito Transportation offers dry van services, this is about freight moving in a trailer that does not have reefer capabilities. Ippolito Transportation offers tridem reefer trailer, which is used for heavy freight and surcharges apply. If temperature control is required, the temperature control for the products shipped must be maintainable without failure for any excuse. If there is a mechanical breakdown, the carrier must arrange for alternative protection.

Temperature control equipment is required only to maintain temperature as per the setting as indicated on the Bill of Lading, i.e., a shipment loaded hot at the origin is the fault of the consignor as the carrier’s equipment is solely transportation equipment maintaining the temperature as programmed into the equipment.  In the event the temperatures are strictly the shipper’s own, “shipper’s temperature declaration” should be properly noted on the receipt at the time the operator signs the Bill of Lading for the product. It is important that the statement “shipper’s temperature declaration” appears on the original Bill of Lading and all copies thereof.

Claims
Ippolito Transportation is not liable for loss, damage or shortage of any goods carried under the bill of lading unless notice of same is clearly indicated on the bill of lading at the time of delivery. Claim Form Submission must be filed within nine (9) months from the date of shipment for complete loss and with two (2) months of partial shortages or damages. Concealed Damage must be reported to Ippolito Transportation Inc within 24 hours of the delivery, any reports after 24 hours will not be accepted.  A copy of the paid freight bill must accompany all claims.  Supporting documentation, as listed in the Claim Application, must be provided. Maximum carrier liability is $2.00 per pound unless a higher value is declared on the bill of lading. Claims are limited to a maximum of $25,000 (Canadian Funds) per shipment.

If Ippolito Transportation accepts liabilities up to a stated declared value, an excess valuation charge of 4% of the total declared value in excess of $2.00 per pound will be assessed, subject to a minimum charge of $10.00 per shipment, with the maximum capped at $25,000 per shipment (Canadian Funds).

Exclusion of Consequential Damages
Subject to the limitations of liability contained in Carrier’s Bill of Lading. Ippolito Transportation will not be held liable for any miscellaneous charges or costs assessed by either shipper, consignee or any third party which do not directly relate to the value of the goods transported, as determined at the time and place of shipment. Examples of non-claimable charges or costs include but are not limited to the following: penalties levied against shipper, carrier or a third party for late delivery, missed appointment, split deliveries, shortages, damages and/or any non-compliance fines.

Ippolito Transportation Inc. shall not be liable for loss, damage, or delay to any of the goods caused by an act of God, riots, strikes, a defect or inherent vice in the goods, the act or default of the consignor, owner or consignee, authority of law, and/or quarantine.

Shipper to Load/Consignee to Unload
The transport truck must be loaded by the shipper. The complete loading service includes the loading of the freight into or on the Carrier vehicle and the stowing and arranging thereof. Any temporary blocking, flooring or lining, racks, standards, strips, stakes or similar bracing, dunnage or supports not constituting a shipping container or package, or a part of the vehicle when required to protect and make shipments secure for transportation must be furnished and installed by the shipper.

The vehicle must be unloaded by the consignee. The loading or unloading, as the case may be, of the freight, must be performed by the shipper or consignee at its expense, without any assistance from the Carrier. The Carrier employee and power unit are to be released while loading or unloading is performed. At the Carrier option, the Carrier employee and power unit may remain during loading or unloading but will render no assistance in loading or unloading.

Availability
LTL, Truckload, Flatbed and Storage service(s) subject to carrier availability and capacity.

Temperature
For LTL service freight temperature is 34-36 F. For Truckload service freight temperature will be set according to the Bill of Lading supplied and/or shipper/customer direction, should there be no temperature indicated the truck will move at 34-36 F.

Rates

Tariff Rates are the rates between the carrier (Ippolito Transportation) and a customer. Rate proposals are subject to acceptance within 30 days. Tariff rates are valid for 30 days; if freight movements do not commence within 30 days of presentation, the tariff becomes null & void. Rates are based on lanes, volume, type, seasonality, etc. Tariff Rates are subject to review at the Rates Expire Date, continued application of rates is conditional on the account being in good standing at all times. Tariff Rates may be subject to exceptions or amendments from the Transport Standard Terms & Conditions Ippolito Transportation Inc., this shall be documented in writing and will only be to the extent the applicable parties of the Tariff Rates between the carrier (Ippolito Transportation) and a customer.

Spot Quote/Market/FAK pricing between the carrier (Ippolito Transportation) and a customer. This is the rate/price at which freight will move and is determined at the time of quote/tenders based on the details provided.   Spot Quote/Market/FAK pricing is valid for 7 days from the date it is issued.

Rate Quotations and Tariff Rates are both confidential, at no time to be shared for distribution to any external parties.

Taxes
Tax will be applied where applicable (HST / QST).

Payment Terms
Freight charges are to be paid within 30 days from the date of invoicing.

Accessorial Charges

Accessorial Charges in trucking refer to additional fees or charges that are incurred for services beyond the standard transportation of goods from one point to another. These charges are often applied when certain circumstances or requirements necessitate extra services or attention from Ippolito Transportation. Accessorial charges can vary widely depending on the nature of the service provided and the policies of Ippolito Transportation. Below is a list of the services and fees associated:

LTL Appointment/Call Notification
This charge will apply when an appointment delivery has been requested, the charge shall be $41.50 per LTL appointment booking. When a shipment is tendered which requires a specific appointed time of delivery, a request must be placed with the appropriate Carrier personnel to schedule the delivery time desired. The bill of lading or shipping order must also be tendered bearing a notation requesting Ippolito Transportation to perform the prearranged time of delivery. The Carrier will try not to miss appointments. However, Ippolito Transportation will not be liable for any costs or penalties resulting from late deliveries or missed appointments irrespective of the cause. LTL Appointment/Call Notification is the administrative charge of booking and operational execution.

Lumper (aka Swamper) Fee
Rates exclude lumper fees and/or driver assistance. Ippolito Transportation Inc. will only pay lumper fees and/or gate fees with the agreement of being reimbursed in full by the paying party.

Extra Labour Services, including Lumper (aka Swamper) Fee
When a pickup or delivery requires the services of more than one person due to shipment size, shape, location or driver safety the charge shall be $65.00 per person, per hour subject to a minimum of one hour change.

Pallet Exchange Fee
Rates do not include the supply, return or exchange of pallets fee. Ippolito Transportation does not have a pallet exchange or return program, if freight is tendered this is subject to freight rates/billing of services.

Tridem Trailer
Ippolito Transportation does have tridem trailers available, the surcharge of up to $300.00 shall apply.

Load sealing
The shipper is responsible for sealing the load and documenting the seal number on all applicable documents. Ippolito Transportation does not carry any seals.

Declared Value
An excess valuation charge of 4% of the total declared value in excess of $2.00 per pound will be assessed, subject to a minimum charge of $10.00 per shipment, with the maximum capped at $25,000 per shipment (Canadian Funds).

Detention time (Pick-up or Delivery)
30 minutes of freeloading or unloading time for LTL and 2 hours free for TL. Thereafter fees of $115/hour will apply. Charges will commence following a 15-minute delay; minimum 30-minute charge.

Border (Freight moving Canada to USA or USA to Canada)
Customers are to select a Customs Brokerage company, when booking a shipment provide the name of the Customs Brokerage.  Your Customs Brokerage will prepare of necessary customs documentation to support the release of goods. For additional details, contact your chosen Customs Brokerage firm.

1- If your shipment incurs Border Delays, reference as Detention Time:1 hour free, thereafter an additional fee applies and shall be invoiced.

2- If your shipment is pulled for a Customs examination all fees applied are invoiced to the customer. Customs fees depend on the type of inspection and range.  An example is X-Ray Inspection Charge.

3- If your shipment is travelling in bond service, an additional fee may apply.

4- If there is cross-docking charger; $30 per pallet to a max $250 per trailer for pallet freight

5- If additional value-added services are requested, Ippolito Transportation will assess the request and provide a rate based on the services required.

Truckload Extra Stop (Pick-up or Delivery)
Truckload service extra pick-up and/or extra stop for delivery will be subject to a surcharge per stop and is subject to fuel. The surcharge is based on $150.00 (plus applicable fuel), within 30 miles radius. Multi-stop truckload (MSTL) consists of one full truckload completing multiple pick-ups and/or multiple deliveries, this service does not apply to any LTL shipments.

Storage/Warehousing
This charge applies when a customer asks us to store undelivered freight or freight awaiting transportation. Undelivered Freight will be allowed 24 hours of free time from the notice of arrival. Saturdays, Sundays and Holidays will not be used in the computation of free time, however, will be included in the assessment of charges. The surcharge is $25.00 per pallet per day or $250.00 per truckload per day.

Fuel Surcharge
Rates are non-inclusive of Fuel Surcharge. Rates herein are subject to 100% of the Ippolito Transportation LTL road and 100% of the Ippolito Transportation Fuel Truckload road rates. Fuel Surcharge is subject to change weekly and posted on the Ippolito Transportation Inc. website.

Truck Ordered Not Used (TONU)
When Ippolito Transportation, upon receipt of a request to pick up a shipment, or to furnish a vehicle to pick-up a shipment, or for the exclusive use of a Shipper, has dispatched a vehicle for such purpose and, due to no disability, fault or negligence on the part of the Carrier and the vehicle is not used, a charge of $300.00 shall apply.

Refused Freight
If freight is refused or unclaimed by the consignee, Ippolito Transportation reserves the right to either notify the shipper by email or phone call. Freight will be returned to the nearest shipping facility, after 24 hours storage charges shall apply.  LTL that is refused is returned to the shipper at a tariff rate of $250 per pallet plus applicable fuel and tax.  If the shipper wishes to have freight disposed of, the cost of disposal shall be billed to the shipper.

Re-Directing Freight
Ippolito Transportation will make diligent efforts to execute a request for re-consignment but will not be responsible if such service is not affected. If freight is requested to be re-directed to net new consignee while in transit an assessment to determine, and new pricing is based on that determination. If freight has reached its destination and the consignee is requesting a re-direct the price shall reflect the consignee as the origin and new destination as the next consignor, freight charges shall apply from the origin to the destination points.

Redelivery Freight
Ippolito Transportation will make diligent efforts to execute the original delivery, if the freight is unable to be delivered due to consignee requests we deliver at another time, access to the delivery area at the time of delivery was restricted, and no answer at the consignee’s place of business or another factor(s) impede the ability to perform original delivery redelivery will be issued and additional fees shall apply.

Disposal Charges
If disposal services are rendered, the associated cost shall apply.

Other
Other is a unique request with a customized solution and associated cost.
